1. Acceptance of Terms
By accessing or using DocsMake ("Service," "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and DocsMake. For business users, you represent that you have authority to bind your organization to these Terms.
2. Service Description
DocsMake is a document automation platform that enables users to:
- Upload document templates (DOCX, Word formats)
- Import data from spreadsheets, CSV, or databases
- Generate personalized PDF documents at scale
- Automate delivery and distribution of documents
We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice.
3. User Accounts and Eligibility
Eligibility: You must be at least 18 years old and have legal capacity to enter into contracts. Business users must be authorized representatives.
Account Security: You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using strong passwords and enabling two-factor authentication
4. Acceptable Use Policy
You agree NOT to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose
- Upload malicious code, viruses, or harmful content
- Violate intellectual property rights of others
- Generate documents containing false, misleading, or defamatory content
- Reverse engineer, decompile, or attempt to extract source code
- Scrape, crawl, or use automated tools to access the Service
- Share your account credentials with unauthorized parties
- Interfere with or disrupt the Service or servers
- Use the Service to spam or send unsolicited communications
- Resell or redistribute the Service without written permission
Violation of this policy may result in immediate account suspension or termination.
5. Your Content and Data
5.1 Ownership
You retain all ownership rights to your templates, data, and generated documents ("Your Content"). You grant us a limited license to process Your Content solely to provide the Service.
5.2 Your Responsibilities
You represent and warrant that:
- You own or have rights to use all uploaded content
- Your Content does not violate any laws or third-party rights
- You have obtained necessary consents for personal data included in Your Content
- You comply with all applicable laws when using generated documents
5.3 Data Processing Agreement
When you upload personal data (e.g., employee information), you act as the Data Controller and we act as the Data Processor under GDPR. Our Data Processing Agreement (DPA) is available upon request.
6. Intellectual Property
The Service, including all software, designs, trademarks, and content (excluding Your Content), is owned by DocsMake and protected by copyright, trademark, and other intellectual property laws.
"DocsMake" and our logo are trademarks. You may not use them without our prior written consent.
7. Subscription and Payment
7.1 Pricing and Billing
- Subscription fees are charged monthly or annually based on your plan
- Prices are subject to change with 30 days' notice
- All fees are non-refundable except as required by law
- You authorize us to charge your payment method on each billing cycle
7.2 Free Trial and Waitlist
Free trial periods or waitlist benefits are for new users only. One free trial per person/organization. We reserve the right to verify eligibility.
7.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.
8. Service Availability and Support
We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for service interruptions due to factors beyond our control.
Support: We provide email support during business hours (response within 24-48 hours). Premium plans may include priority support.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE PAST 12 MONTHS
- WE ARE NOT RESPONSIBLE FOR ERRORS IN YOUR TEMPLATES OR DATA
- YOU ARE SOLELY RESPONSIBLE FOR REVIEWING GENERATED DOCUMENTS FOR ACCURACY
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold DocsMake harmless from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your Content or use of generated documents
- Your violation of any laws or third-party rights
- Unauthorized use of your account by others
11. Termination
We may suspend or terminate your account if you:
- Violate these Terms or our Acceptable Use Policy
- Provide false or misleading information
- Fail to pay fees when due
- Engage in fraudulent or harmful activities
Upon termination, your right to use the Service ceases immediately. We will provide you with access to export Your Content for 30 days after termination.
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.
12.2 EU Users
EU users may bring disputes in their country of residence. Nothing in these Terms affects your statutory rights as a consumer under EU law.
12.3 Arbitration (US Users)
US users agree to resolve disputes through binding arbitration, except for:
- Small claims court actions
- Intellectual property disputes
- Injunctive or equitable relief
You waive the right to participate in class action lawsuits or class-wide arbitration.
13. Export Compliance
You agree to comply with all applicable export control laws and regulations. You may not use the Service in countries subject to US or EU embargoes.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or platform notification at least 30 days in advance. Your continued use after changes constitutes acceptance.
If you do not agree to the modified Terms, you must stop using the Service and cancel your account.
15. Beta Features
We may offer beta, preview, or experimental features ("Beta Features"). Beta Features are provided "AS IS" and may contain bugs or errors. We may discontinue Beta Features at any time without notice.
16. API and Integrations
If you use our API:
- You must comply with our API documentation and rate limits
- Do not abuse, overload, or harm our systems
- API keys are confidential; do not share them publicly
- We may revoke API access for violations
17. Confidentiality
We treat Your Content as confidential and will not access it except:
- To provide the Service
- To prevent or address technical issues
- When required by law
- To investigate violations of these Terms
- With your explicit consent
18. Third-Party Services
The Service may integrate with third-party services (payment processors, cloud storage, etc.). Your use of third-party services is subject to their own terms and conditions. We are not responsible for third-party services.
19. Disclaimers
- Legal Documents: DocsMake is not a law firm. Generated contracts or legal documents should be reviewed by qualified legal professionals.
- Financial Documents: Generated invoices or financial reports should be reviewed for accuracy. We are not responsible for accounting or tax advice.
- Data Accuracy: You are responsible for ensuring the accuracy of input data and generated documents.
20. Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, pandemics, wars, labor disputes, government actions, or internet/infrastructure failures.
21. Severability and Waiver
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not constitute a waiver of that right.
22. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DocsMake regarding the Service.

Important Notice for EU Consumers
Under EU consumer protection laws, you have a 14-day right of withdrawal from the date of purchase. To exercise this right, contact us at support@docsmake.com.
Note: If you request to begin using the Service during the withdrawal period, you acknowledge that you waive your right of withdrawal once the service is fully performed.
